RULES AND REGULATIONS OF Global Men Of The World

Dear Subscriber:

Welcome to Global Men of The World The following Rules and Regulations constitute a binding agreement between us and are designed for our mutual benefit and legal protection. If you have any questions concerning any of these rules, please E-mail your questions or concerns to Global Men of The World; at atruevip@hotmail.com, or telephone the corporate offices at (561)840-8644 and a representative of Global Men of The World & will be happy to address your concerns. Members of Global Men of The World &, such as yourself, are called cam boyz and Internet users who purchase Global Men of The World ; memberships which can be used to buy time with you are called members.

Your Web Page
Your Non-Member Web Page will contain your name, a; photograph of yourself and such other information concerning you that is mutually agreeable between us and that does not violate any obscenity laws.; Your Web Page will appear on Global Men of The World ; Web site(s) 24 hours per day, 7 days per week during the entire time that you are a cam boy. It will per caption setup display global logo on right top of screen and include date, time an "Copyrighted; All Rights Reserved" In the bottom of capture image.

Term
The initial term of our relationship is one (1) year commencing with the time that you advise us that you will be available for audio/visual communication with members. You may renew your Web Page on Global Men of Thw World ; for as many additional one-year periods as you desire. If you do renew, we reserve the right to charge a ; renewal fee of one hundred and fifty dollars ($150). We will advise you of your annual renewal fee after the first renewal year at least a month before your cam boyz membership expires. This contract may be terminated by either party, for any reason, by giving thirty days written notice.

Your Availability
The times you will be available for audio/visual communication with members is entirely up to you. You can work as little or as much as you desire. Global Men of The World makes no guarantees with you as to the amount of members who will utilize your services or the amount of money that you will earn for these services.

Your Income
Global Men of The World will pay you a commission based on site memberships generated from your cam page or per minute charges in the future. The commission structure is as follows:

1-9 members 30%, 10-19 members 40%, 20+ members 50%

This amount is NOT GUARANTEED AND IS SUBJECT TO increase or decrease AT ANY TIME BASED ON OUR COSTS.

Reserve For Charge Backs for memberships
Initially we will not deduct from your share of your net charges any reserve for charge backs or memberships. However, if our experience reveals that the amount of your charge backs and memberships is abnormal in comparison with the amount which other cam boyz rendering the same type of services have experienced, we do reserve the right to establish a reserve equal to twenty percent (20%) of your share of your monthly net charges. After this reserve has been in existence for six (6) months, we will start releasing to you a portion of the reserve based upon the amount of such reserve which is no longer subject to a charge back or credit. In this connection, the Federal Consumer Protection Act permits members to demand a charge back or credit from us within six (6) months of the date that the charge was made. When you leave Global Men of The World, we will pay to you the amount of the reserve over a six-month period - one-sixth of the amount of the reserve per month - less, of course, any charge backs or memberships made during this six-month period.

Service providers
You may use any Internet service provider to log on to the Internet. We do NOT recommend AOL as a provider however. We do recommend a local Internet Service provider, cable modem or better.

Additional Performers
You may not render your services in conjunction with any other person unless prior to any performance by you and such other person you get; the appropriate releases and authorizations demonstrating that such other person is an actual human being who is at least eighteen (18) years of age. These documents must be provided to Global Men of the World via fax or mail.

Software
Global Men of the World has a license from a third party to the software system, which will enable you to interface with your customers. You acknowledge that this software and all of the programs contained within it and all copies thereof are proprietary to Global Men of the World licensor and title thereto remains in Global Men of The World licensor. Concurrently with your signing of these Rules and Regulations,Global Men of Thw World will deliver to you a copy of this software system when we implement it. You agree that during the term of this Agreement: (I) that you will keep this software system only at the premises where you conduct your activities under this Agreement; (ii) that you will not sell, transfer, publish, disclose, display, or otherwise make the software available to others; (iii) that you will make no copies of the software.

Your Representations and Warranties
You represent and warrant to Global Men of The World:
(a) You are over eighteen (18) years of age.
(b) Any performance which you render in conjunction with any other person will depict only actual human beings that are eighteen (18) years of age at the time they render their performances.
(c) No part of your performance either alone or in conjunction with any other person will violate any law concerning obscenity. Specifically, you agree that no part of each performance will involve urination and deification; necrophilia, bondage with penetration; rape; incest; bestiality, or child pornography, depictions of actual coerced conduct; depictions of realistically portrayed simulated coerced conduct, penetration by an inappropriate object (wine bottle, zucchini, plunger, etc.), depictions of nudity or sexuality by an age inappropriate-looking performer (i.e., someone who looks younger than 18) or by a performer whom the script, make-up, demeanor, costuming, setting, etc., creates the appearance of being under the age of 18, fist insertion, depictions of conduct which appears to be painful.
(d) If you render your performance in conjunction with any other person that such person has been paid or will be paid in full by you when due for such services and will have no claim on Global Men of The World for such services.
(e) No part of your performance either alone or in conjunction with any other person will violate or infringe on the copyright, literary, dramatic, personal, private, or civil or property rights, or rights of privacy, or any other rights of any third party.
(f) No part of your performance either alone or in conjunction with any other person will contain any material which is libelous, slanderous, or defamatory, or which violates or infringes upon or will give rise to any adverse claim with respect to any common law or other right including, without limitation, trademark, service mark, trade name, literary, artistic, dramatic property, or other right of any third person.
If you breach any of these warranties, Global Men of The World reserves the right to immediately terminate your Web Page in addition to any other rights or remedies that it may have in law or in equity.

Indemnity
You agree to defend, indemnify and hold Global Men of The World and its officers, directors, owners, shareholders, members, employees, attorneys, successors, assigns, and representatives from and against any and all loss,liability, claims, damage, cost, or expense, causes of action, suits, proceedings,judgments, awards, executions, and liens, including reasonable attorney's fees and costs arising from or relating to actual or reasonably likely breaches of any terms, condition, warranty, or representation made by you in this Agreement.

Independent Contractor Status
Cam boyz work from remote private premises and Global Men of The World exercises no control over the images displayed by them. Cam boyz are neither employees nor independent contractors of Global Men of The World. All persons whose images are displayed on Global Men of The World or affiliated sites are autonomous.

Your Qualifications
You represent to us that you have the qualifications and skills necessary to perform the services under this Agreement in a competent manner without the advice or direction of Global Men of The World.

Assignment
Neither this Agreement nor any of your duties or obligations under this Agreement may be assigned by you without the prior written consent of Global Men of The World.

Non-Competition
For two (2) years following the termination of this Agreement, you agree that you will not call on, solicit, or take away any member, which contacted you through Global Men of The World.

Notices
Any notices between us may be given either by facsimile, personal delivery or certified mail to RJM Global Men of The World at: P.O. Box 3392, Palm Beach, Florida 33480. Any notices delivered personally or by facsimile will be deemed communicated as of actual receipt and mailed notices will be deemed communicated as of the third day after mailing.

Arbitration
In the event of a dispute between us, the matter will be settled by arbitration according to the rules of the American Arbitration Association. The venue of the Arbitration shall be Palm Beach County Florida, and the appropriate Court in Palm Beach County Florida, shall have jurisdiction to enter a judgment on any such award. You consent to the jurisdiction of the Florida Courts to grant such an award.

Entire Relationship
These Rules and Regulations set forth are our entire relationship. You acknowledge that we have made no representations, inducements, or promises, which are not contained in these Rules and Regulations. These Rules and Regulations cannot be modified except by writing.
If these Rules and Regulations are agreeable to you, please date and sign the same at the place indicated below for your signature.
